Abstract

A company is an artificially created entity, and it derives its legal status from legislation and law. Unlike individuals who become subjects of law by the very fact of birth, legal persons, or their founder or founders, must meet the requirements of the previous regulations provided that the company could become the subject of law, that would have legal capacity. Moment of acquisition of legal personality and legal capacity is very important, because since then is considered to be a company formed, that is established, it may be a bearer of rights and obligations and can enter into legal relations in its own name and for its own account. Мost jurisdictions recognize the legal personality of a company which is acquired by registration in the prescribed register. Acquisition of legal personality, company starts "separate life" which is different from the lives and interests of its founder.
